ARTICLE 1/ PURPOSE AND IDENTIFICATION

These General Terms and Conditions of Sale define the conditions applicable to sales concluded between, on the one hand, persons wishing to make a purchase (hereinafter referred to as the "CUSTOMER") via the website https://www.parade-protection.comand PARADE, an SAS (simplified joint stock company) whose trading name is PARADE, with capital of 10,000,000 euros, whose registered office is located at Montrevault-sur-Evre (49110), registered in the Angers Trade and Companies Register under number 312 911 902.

These conditions only apply to non-professional natural persons.

ARTICLE 2/ ORDERS

The CUSTOMER can purchase via the site https://www.parade-protection.com.

The order implies the irrevocable acceptance of these general terms and conditions of sale. These general terms and conditions of sale are subject to change. The applicable terms and conditions are those in force on the https://www.parade-protection.com website on the date the order was placed.

The order is carried out as follows:

1. The CUSTOMER selects the product(s) to be purchased and adds it to the shopping basket by clicking "add to basket" once.

2. To continue shopping or place an order, the CUSTOMER must click the corresponding "continue shopping" or "order" button.

3. Once the purchases have been completed, the CUSTOMER must click the "order" button, which will redirect them to the "finalise my order" page. At this stage, the CUSTOMER still has the option of modifying the order.

4. To finalise their order, the CUSTOMER must be logged into their CUSTOMER account in order to complete and confirm the details required for delivery. The order can only be registered on the website if the user has clearly identified themselves by entering their CUSTOMER code (an e-mail address) and a chosen password.

5. On the "Finalise my order" page, the CUSTOMER must declare that they have read and accepted the General Terms and Conditions of Sale.

6. If the CUSTOMER does not wish to make any changes to their order and/or contact details, they must confirm their order by clicking "pay for my order". At this stage, this second acceptance will constitute the conclusion of the contract.

Orders are only taken into account after acceptance of the payment.

Once payment has been accepted, an order confirmation email will be sent to the CUSTOMER

Once the transaction has been confirmed, the CUSTOMER will be sent the order number and an automatic email confirming that the CUSTOMER's order has been validated and dispatched.

ARTICLE 3/ PRODUCT AVAILABILITY:

All orders imply acceptance of the prices and descriptions of the products available for sale. PARADE undertakes to only honour orders placed on the Site within the limits of available product stocks. If one or more ordered products are not available, PARADE undertakes to inform the CUSTOMER as quickly as possible. The CUSTOMER's order will then be automatically cancelled.

ARTICLE 4/ PRICES AND INVOICES

All product prices are including tax but not including shipping costs.

PARADE reserves the right to change its prices at any time without notice.

Products will be invoiced on the basis of the price in force at the time of order confirmation and remain the property of PARADE until full payment has been received.

The price is payable in full in a single instalment.

An invoice summarising the order will be available as soon as the order has been dispatched in the "Dashboard" or "Your orders" section of the CUSTOMER account.

ARTICLE 5/ DELIVERY
5.1. Delivery areas

Delivery is only to mainland France and Corsica, subject to the provisions mentioned below. Products will be sent to the delivery address indicated by the CUSTOMER during the order process.

5.2. Delivery methods

So Colissimo – home delivery

The parcel is handed to the CUSTOMER or delivered to their letterbox. If it is too big for a letterbox, it will be made available to the CUSTOMER at their local post office. The CUSTOMER has 10 working days from the arrival of the parcel at the post office to collect the parcel. After this time, it will be returned to sender.

The CUSTOMER will be informed by email 24 hours before delivery of the parcel.

Delivery to one of the 7,500 collection point lockers that are open 24/7

- Post office

Delivery to one of the 10,000 La Poste collection points of your choice in France

The CUSTOMER will be informed of the availability of their parcel by text and email, with a collection voucher so they can collect their parcel from the post office within 10 working days.

After this time, their parcel will be returned to the sender.

- Retail collection point

Delivery to one of the 37,000 retail collection points within La Poste Group

The CUSTOMER will be informed of the availability of their package by SMS and email, with a withdrawal voucher allowing them to pick it up within 10 working days.

After this period, their parcel will be returned to sender.

5.3. Delivery times

PARADE processes orders from Monday to Friday (except public holidays), within an average of 48 hours. At certain times, processing may be longer due to the greater number of orders to be processed.

To this must be added transport times, as orders are delivered by La Poste's parcel service.

The maximum delivery time, including transport, is 15 working days from the date on which the order is confirmed, unless expressly stipulated otherwise before the order is placed and prior to its final confirmation.

In all cases, the CUSTOMER automatically receives an email informing them of the dispatch and tracking of their order.

Each delivery will be deemed to have been made as soon as the product has been made available to the CUSTOMER by the postal service or the carrier.

5.4. Delivery costs

For all our orders, delivery costs are €5 and are free for orders over €80.

ARTICLE 6/ PAYMENT AND SECURITY

Payment for your purchases must be made using a bank card (Visa, Mastercard). No other payment method will be accepted.

The order will be confirmed as soon as payment has been accepted by the bank. The CUSTOMER must enter the type of card, the name on the card, the card number, the expiry date and the security code located on the back of the card in the spaces provided.

The CUSTOMER's bank account will be debited upon confirmation of the order.

PARADE makes every effort to ensure the confidentiality and security of data transmitted on the web and on the www.parade-protection.com website. To this end, the website uses a module that encrypts the CUSTOMER's credit card details using the SSL (Secure Socket Layer) protocol. These details are never transmitted unencrypted over the network.

ARTICLE 7/ RIGHT OF WITHDRAWAL

In accordance with the provisions of Article L.221-18 of the French Consumer Code, the CUSTOMER has a period of 14 days to exercise their right of withdrawal without having to provide a reason. The period begins on the day the CUSTOMER or a third party designated by them receives the ORDER. If the 14 day period ends on a Saturday, Sunday or national holiday, it will be extended to the next business day.

To exercise their right of withdrawal, the CUSTOMER must notify PARADE of their decision to withdraw before the deadline expires:

- Write a request to return your product specifying: the order number, the order date and the product(s) you wish to return,

Or by returning the withdrawal form duly completed and signed, to the following address

The CUSTOMER will then receive an email acknowledging receipt of their request, together with a return number and a return label to affix to the parcel. The label means there are no return postage costs.

If the right of withdrawal is exercised within the aforementioned period, only the price of the product(s) purchased and any delivery costs will be reimbursed to the CUSTOMER upon receipt of the parcel or proof of dispatch of the item(s) by the CUSTOMER.

In accordance with article L.221-23 of the French Consumer Code, the customer has a maximum legal period of 14 days from the date of withdrawal to return the product(s).

The product(s) must be returned in new condition (not worn, damaged or soiled) and must not have been used for a prolonged period (beyond the time required for testing). It must be returned in its original packaging, along with any accessories.

The refund will be made within 14 days of the date on which Parade is informed of the Customer’s decision to withdraw. In all events, the refund cannot occur before Parade has received the item(s) subject to the Customer's withdrawal or has been given proof that such items have been sent.

The refund will be made using the payment method of the returned order, unless the Customer agrees with Parade on a different method.

The refund will not be possible if the item in question has suffered depreciation resulting from handling other than that necessary to establish its nature, its characteristics and or its conformity.

ARTICLE 8/ RETURNS AND REFUNDS
8.1 Time limit

Irrespective of the above-mentioned withdrawal period, the CUSTOMER has a period of 30 clear days from the date of receipt of the order to return the item(s) with which he/she is not satisfied, excluding products that have been personalised and subject to compliance with the conditions set out below.

8.2 Return conditions

All requests for returns must be made by email to the following address serviceclient@parade-protection.comwithin 30 days of receipt of the order, specifying: the order number, the date of the order and the product(s) to be returned

The CUSTOMER will then receive by email a return number and a return label to affix to the parcel. The label means there are no return postage costs.

8.3 Product condition

All returned products (shoes, original packaging, accessories, etc.) must be new, unused and in their original intact box without writing.

Upon receipt of the package, PARADE will judge the condition of the returned goods. No returns will be accepted and therefore no refunds will be made if the returned products have been visibly used or damaged by the CUSTOMER and this use or damage makes the product unfit for sale.

8.4 Return refunds

In the event of a return that complies with the conditions mentioned above, PARADE will reimburse the returned goods within 30 days of the return of the goods at the latest. This refund will be made by bank transfer to the CUSTOMER's bank account.

ARTICLE 9/ INTELLECTUAL PROPERTY

All elements of the PARADE website, whether visual or audio, are protected by copyright, trademarks or patents. They are the exclusive property of PARADE.

Any total or partial reproduction, modification or use of this trademark, and more generally of the other intellectual property rights attached to the site, for any reason and on any medium whatsoever, without the express prior consent of PARADE, is strictly prohibited.

ARTICLE 10/ LIABILITY

For every stage in accessing the website and the ordering process, PARADE only has an obligation of means. PARADE cannot be held liable for any inconvenience or damage inherent to the use of the Internet, in particular a breakdown in service, external intrusion or the presence of computer viruses, or any event qualified as force majeure, in accordance with case law.

Furthermore, PARADE cannot be held liable if orders are not completed or if it is prevented from fulfilling any of its obligations due to a case of force majeure as defined by case law, and in particular in the event of a strike or bad weather preventing the delivery of orders.

ARTICLE 11/ LEGAL GUARANTEES
11.1 Legal guarantee of conformity and guarantee against hidden defects

The products are covered by the legal guarantee of conformity (Article L 211-4 et seq. of the French Consumer Code) and the guarantee against hidden defects (Article 1641 et seq. of the French Civil Code). All guarantees are void in cases of external damage or damage resulting from misuse, improper use, negligence or lack of maintenance by the Customer, as well as in cases of normal product wear and tear.

Article L217-4 of the French Consumer Code

The seller is obliged to deliver goods which comply with the contract and is liable for any lack of conformity which may exist upon delivery (…).

Article L217-5 of the French Consumer Code

To be in conformity with the contract, the goods must:

1º Be fit for the purpose usually expected of similar goods and, where applicable: correspond to the description given by the seller and possess the qualities that the seller has presented to the buyer in the form of a sample or model; have the qualities that a buyer may legitimately expect in view of the public statements made by the seller, the producer or its representative, in particular in advertising or on labelling

2º Or have the characteristics defined by mutual agreement between the parties or be suitable for any special use sought by the buyer, brought to the attention of the seller and accepted by the latter.

Article L217.7 of the French Consumer Code

Any lack of conformity appearing within six months of delivery of the product is presumed to have existed at the time of delivery, unless proven otherwise.

The seller may challenge this presumption if it is not compatible with the nature of the goods or the alleged lack of conformity.

Article L217-9 the French Consumer Code

In the event of a lack of conformity, the buyer shall choose between repair and replacement of the product. However, the vendor may proceed contrary to the buyer's choice if such a choice results in costs that are clearly disproportionate to the other method, considering the value of the goods or the importance of the defect. The vendor must in that case proceed according to the method not chosen by the buyer, unless it is impossible to do so..

Article L217-10 of the French Consumer Code

If neither repair nor replacement of the product is possible, the buyer may return the product and obtain reimbursement of the price or keep the product and obtain reimbursement of a portion of the price.

The same option is available:

1° If the solution requested, proposed or agreed upon pursuant to Article L.211-9 cannot be implemented within one month of the buyer's complaint;

2° Or if this solution cannot be achieved without major inconvenience to the consumer, taking into account the nature of the property and the use he is seeking.

The sale cannot, however, be cancelled if the lack of conformity is minor.

Article L217-12 the French Consumer Code

Legal action based on lack of conformity lapses two years after the delivery of the good.

Article L217-13 Consumer Code

The provisions of the present section do not deprive the buyer of the right to bring an action on account of latent defects as provided for in Articles 1641 to 1649 of the French Civil Code or any other action of a contractual or extracontractual nature to which he is entitled under the law.

Article 1641 of the Civil Code

The seller is bound by the hidden defect guarantee for sold goods which make them unfit for the purpose for which they were intended, or which reduce the use of the goods to such an extent that the buyer would not have purchased them, or would only have given a lower price, had they been aware of them.

Article 1648 paragraph 1 of the French Civil Code

The action resulting from fatal defects must be brought by the purchaser within two years of the discovery of the defect.

The guarantor of defects in the goods sold is SAS PARADE, whose registered office is located at Route de Chaudron en Mauges in 49111 Montrevault-sur-Evre.

For application of legal conformity guarantee claims, the customer has two years from the delivery of the goods to act, and may choose between repair or replacement of the goods, subject to the cost conditions provided for in Article L. 211-9 of the French Consumer Code, and is not required to prove the existence of the lack of conformity of the goods during the 24 months following their delivery. The legal guarantee of conformity applies independently of any commercial guarantee that may be granted.

The customer can decide to claim against the hidden defects guarantee for sold goods as defined by Article 1641 of the French Civil Code and can choose between the cancellation of the sale or a reduction in the sale price in accordance with Article 1644 of the French Civil Code.

11.2 Return and refund procedures for defective or non-conforming products

The CUSTOMER requesting the benefit of the legal guarantee of conformity or hidden defects must then return the item within the legal time-frame to PARADE, Service Clients Web, 49111 Montrevault-sur-Evre CEDEX. Prior to this return, the CUSTOMER must imperatively make a return request via the address serviceclient@parade-protection.com.

For returns of defective or non-compliant products, after PARADE has determined that the product is defective or non-compliant, PARADE will refund the Customer for the price of the item(s) in question, the return shipping costs, and, if the entire order is returned, the shipping costs.

ARTICLE 12/ PERSONAL DATA

Regulatory framework

In accordance with the French Data Privacy Act of 6 January 1978, and the General Data Protection Regulation (EU Regulation 2016/679 of 27 April 2016), PARADE processes its customers’ and prospects’ personal data, hereinafter referred to as Customer data and Prospect data.

Data controller and DPO

The data controller is PARADE, Route de Chaudron, 49110, Montrevault-sur-Evre, and the Eram Group's Data Protection Officer is Céline Delaunay (dpo@parade-protection.com).

Type of data collected

The Customer and Prospect data collected by PARADE may be the following: surname, first name, title, email address, date of birth, postal and delivery address, telephone number. PARADE also reserves the right to collect browsing data using cookies, in accordance with applicable legislation. Cookies are computer files stored on the Customer's computer hard drive. Their purpose is to indicate a previous Customer’s visit to the www.parade-protection.com website.

Regarding the data of minors, PARADE undertakes not to create customer accounts for persons under the age of 16 on the www.parade-protection.com website.

Processing purposes

This Customer data is collected as part of PARADE's business of selling shoes, luggage, accessories and clothing, and to manage the customer database through segmentation, canvassing, loyalty and communication by email or text message.

Recipients

The recipients of the data are PARADE's customer service and online marketing departments, as well as a payment service provider (Be2bill), the company that maintains the system (ID Interactive), the www.parade-protection.com website host (OVH) and our transport service providers (La Poste) to guarantee the delivery of Customer orders. Data transfers with our service providers are contractually regulated and covered by applicable legislation, and are the subject of adequate data security levels.

Retention

In accordance with the General Data Protection Regulation retention rules, and with the Simplified Standard 48 for the management of customer and prospect files, personal data relating to customers cannot be kept beyond the period strictly necessary for the management of the commercial relationship.

PARADE undertakes to delete or archive Customer data after a period of 3 years following the last purchase, and Prospect data after a period of 3 years following the last interaction.

Exceptions to this are the data necessary to provide proof of rights or contracts, which, as provided for in the provisions of the French Commercial Code covering the retention period for ledgers and documents created in the course of commercial activities, and the French Consumer Code relating to the retention of contracts signed by electronic means, can be archived.

Rights of the person concerned

The Customer has a right to access and rectify the data concerning them, and may also assert their right to deletion and right to be forgotten, as well as their right to opposition or portability. For all requests, please write to PARADE, Service Clients, Route de Chaudron, 49110 Montrevault-sur-Evre or serviceclient@parade-protection.com.

Furthermore, the Customer may deactivate the use of cookies at any time by selecting the appropriate browser settings. However, such action may prevent the use of certain of the www.parade-protection.com website features.

Finally, all Customers have the right to lodge a complaint with the competent supervisory authority (in France, the CNIL) concerning the processing of their personal data.

Opposition to telephone canvassing

With regard to Article L. 223-2 of the French Consumer Code, the customer who does not wish to be the subject of commercial canvassing by telephone can register free of charge on a list electronically on the website bloctel.gouv.fr, or by post to the following address: Service Bloctel, 6 rue Nicolas Siret - 10000 TROYES.

Legality of processing

The provision of Customer data is necessary for purchases on the www.parade-protection.com website, in particular for the delivery of orders to customers. The collection of non-customer data is based on the legitimate interest of the data controller. Finally, the processing of data by PARADE may fulfil a legal obligation (tax or litigation management for example).

ARTICLE 13/ APPLICABLE LAW

These terms and conditions are governed by French law.

In the event of a dispute, PARADE and the Customer will attempt to resolve it amicably..

For orders placed on the website, the CUSTOMER can also submit any complaints on the dispute resolution platform put online by the European Commission: http://ec.europa.eu/consumers/odr/.The European Commission will transfer the complaint to the relevant national ombudsmen.

ARTICLE 14/ DURATION

These terms and conditions will apply throughout the duration of the online services offered by PARADE.

ARTICLE 15/ DISPUTES

These terms and conditions are governed by French law. In the event of a dispute, PARADE and the Customer will attempt to resolve it amicably.

In accordance with the provisions of the French Consumer Code concerning the amicable settlement of disputes, PARADE is a member of the E-commerce Ombudsman Service of the FEVAD (Federation of E-commerce and Distance Selling) of which the contact details are as follows: Consumer Ombudsman FEVAD - BP 20015 - 75362 PARIS CEDEX 8 - FRANCE http://www.mediateurfevad.fr.After prior written request from the consumer to PARADE, the Ombudsman Service may be contacted for any consumer dispute which has not been settled. For orders placed on the website, you can also submit any complaints on the dispute resolution platform put online by the European Commission: http://ec.europa.eu/consumers/odr/. The European Commission will transfer your complaint to the relevant national ombudsmen.

ARTICLE 16/ EVIDENCE

The computer records stored in in the computer systems of PARADE and its partners in reasonable security conditions will be considered proof of communications, orders and payments between the parties.

ARTICLE 18/ ENVIRONMENT

1.Triman

The Triman logo is the result of French Environmental Code regulations. The logo means that the recyclable product is subject to sorting instructions. It is placed on all consumer products that are collected by eco-organisations and of which the "recyclability" is guaranteed.

For PARADE, this includes its packaging, as well as its footwear and textiles.

You must therefore sort these items. The Triman may appear on products or on packaging, the instructions or any other medium, including electronic. In the near future, it will be accompanied by additional sorting information on our packaging and on our footwear and textiles.

2. ECO-ORGANISATIONS

PARADE is registered under UDI FR217359_01HEKF, issued by ADEME and communicated by CITEO.

This number guarantees that PARADE is registered with the eco-organisation and up to date with its eco-contributions, as required by law. This UDI is used to facilitate the monitoring and control of compliance with EPR (Extended Producer Responsibility) packaging obligations.

- PARADE is registered under UDI FR218688_11SNHP UDI, issued by ADEME and communicated by Re_fashion.

This number guarantees that PARADE is registered with the eco-organisation and up to date with its eco-contributions, as required by law. This UDI is used to facilitate the monitoring and control of compliance with EPR (Extended Producer Responsibility) for clothes, shoes.
